I hereby and irrevocably consent to the recording and distribution of reproduction(s) of my voice and performance by The Build Your Beautiful Business Podcast by Julie C Butler registered and operating under the laws of Ontario, Canada (hereinafter “Podcaster”), as well as its employees, designees, directors, officers agents, independent contractors, affiliates, associates, legal representatives, successors, agents and assigns, as part of the media program The Build Your Beautiful Business Podcast (hereinafter “Podcast”).

I understand and agree that I shall receive no compensation for appearances on and participation in the Podcast.

I understand and agree that the Podcaster shall have the sole and exclusive right to use, exploit and distribute the Podcast, and my performance and appearance as embodied therein in any and all media or formats, throughout the world, in perpetuity. 

I forego any opportunity, whether past or present, to copyright or trademark my performance and appearance as embodied in the Podcast, and I waive any right to royalties or other compensation arising from or related to the use of my performance and appearance as embodied in the Podcast. 

I understand and agree that my name, title, website URL, image, photograph, the likeness and sound of my voice as recorded on audio or video, and other identifying factors may be revealed to the general public in connection with my performance and appearance on the Podcast and may be used for marketing, advertizing, fund raising, or any other lawful purpose, through any form of media, including but not limited to social media, promotional materials, printed publications, commercial products, education, course materials, video footage, websites, broadcasts, or any other medium. I understand however that my location, physical address, email address, phone number or any other contact details will be kept confidential and will not be divulged to the general public. 

I hereby release the Podcaster (including its employees, designees, directors, officers agents, independent contractors, affiliates, associates, legal representatives, successors, agents and assigns) from any and all claims and demands which may arise from or relate to any use of the testimonial, including, but not limited to, claims for privacy violations, right of publicity claims, libellous material, defamation and/or any other intellectual property rights. 

I indemnify and hold the Podcaster harmless (including its employees, designees, directors, officers agents, independent contractors, affiliates, associates, legal representatives, successors, agents and assigns) from and against any and all legal claims and demands, including reasonable attorney’s fees, court costs and other legal expenses, which may arise from or relate to the testimonial.

This Podcast Guest Release constitutes the entire understanding between the parties and specifically incorporates, supersedes and replaces all prior or contemporaneous oral and written representations, understandings or agreement. No portion or provision of this Podcast Guest Release may be changed, modified, amended, waived, supplemented, discharged, cancelled or terminated orally or by any course of dealing, or in any manner other than upon written notice. 

If any part or provision of this Podcast Guest Release is found to be ineffective or invalid, it shall not invalidate or render unenforceable the remainder of this Podcast Guest Release which shall continue in full force and shall be enforced to the maximum extent possible.

This Podcast Guest Release shall be governed by and construed in accordance with the laws of Ontario and Canada.

In case of a dispute, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in Ottawa, Ontario, Canada. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing Federal law as well as the law of Ontario, Canada. I hereby agree to bear all costs and fees of the binding arbitration to the maximum extent permitted by law. 

I represent and warrant that I have the power and authority to authorise this Podcast Guest Release and that my appearance will not infringe on the intellectual property rights of any third party.

I certify that I am over eighteen (18) years of age and have full legal rights and authority to consent to the terms of this Podcast Guest Release.
